Welcome, Maverick.

You're about to join a community of BUILDERS, CREATORS, and ACTION-TAKERS who are using AI-powered publishing to create freedom, build wealth, and design life on THEIR terms.

These Terms of Service ("Terms," "Agreement") are the FOUNDATION of our partnership. They define how we work together, what we promise you, what we expect from you, and how we protect BOTH of us as you build your publishing empire.

Yes, this is a legal document. But it's also a COMMITMENT. A covenant. A promise between PublishandProsper.ai LLC and YOU that we're in this TOGETHER.

THIS IS A BINDING LEGAL AGREEMENT

By accessing our website (www.publishandprosper.ai), enrolling in our programs, using our services, or making a purchase, you AGREE to be bound by these Terms.

WHO WE ARE:

PublishandProsper.ai LLC ("PublishandProsper.ai," "we," "us," "our," "the Company") is a Florida limited liability company dedicated to empowering entrepreneurs to build profitable AI-powered publishing businesses.

Our mission: To provide world-class training, tools, community, and support that transforms everyday people into successful publishers.

WHAT THIS COVERS:

These Terms govern your use of:

• Our website: www.publishandprosper.ai

• All subdomains and related domains

• Our online courses and training programs (including ATLAS MAVERICKS)

• Our mobile applications (if applicable)

• Our community platforms and forums

• Our email, SMS, and other communications

• Any products, services, or tools we provide

• Any content, resources, or materials we make available

UPDATES TO THESE TERMS:

We reserve the right to update these Terms at any time. When we do:

• We'll update the "Last Updated" date above

• We'll post the new Terms on our website

• We may notify you via email (but we're not required to)

• Your continued use of our services after changes = acceptance of new Terms

We recommend checking this page periodically. But here's the reality: if you're actively using our services and following our community guidelines, you'll be fine. These updates typically reflect new features, clarifications, or legal requirements - not gotchas designed to trap you.

SECTION 2: YOUR ACCOUNT AND RESPONSIBILITIES

CREATING AN ACCOUNT:

To access certain features and services, you may need to create an account. When you do:

✓ Provide ACCURATE information (name, email, payment details, etc.)

✓ Choose a SECURE password (we recommend a password manager)

✓ Keep your login credentials CONFIDENTIAL

✓ Notify us IMMEDIATELY if your account is compromised

YOU are responsible for ALL activity that occurs under your account, whether authorized by you or not. If someone gains unauthorized access and causes damage, that's on YOUR account until you notify us.

ACCOUNT SHARING:

Your account is for YOUR personal or business use. You may NOT:

❌ Share your login credentials with others

❌ Create multiple accounts to circumvent restrictions

❌ Allow others to use your account

❌ Sell, transfer, or rent your account access

Exception: If you purchase a team or agency plan that explicitly includes multiple user seats, those terms will be outlined in your specific purchase agreement.

TRUTHFULNESS REQUIREMENT:

When you register, purchase, or interact with us, you MUST provide truthful, accurate information. This includes:

• Your real name (or business name)

• Valid email address

• Accurate billing information

• Honest representations about your business and intent

False information may result in immediate account suspension or termination.

YOUR RESPONSIBILITIES:

As a member of the ATLAS MAVERICKS community, you agree to:

✓ Follow the ATLAS Method as taught (if you want the guarantee protection)

✓ Comply with Amazon KDP Terms of Service

✓ Respect intellectual property rights (yours and others')

✓ Treat community members, support team, and staff with RESPECT

✓ Submit accurate progress reports (if enrolled in programs requiring them)

✓ Not engage in fraudulent, abusive, or unethical behavior

✓ Not use our services for illegal purposes

✓ Not attempt to reverse-engineer, hack, or exploit our systems

SECTION 3: OUR PRODUCTS, SERVICES, AND PROGRAMS

WHAT WE OFFER:

We provide education, training, tools, and community focused on AI-powered Amazon KDP publishing. This includes (but is not limited to):

• Online courses and training programs (e.g., ATLAS MAVERICKS)

• Live webinars, workshops, and coaching calls

• On-demand video training and tutorials

• AI tools, templates, and software

• Community access (forums, groups, mastermind sessions)

• Email and support resources

• Certifications and credentials

• Bonus materials, resources, and updates

DELIVERY OF SERVICES:

Digital Products: Delivered instantly upon purchase (or as soon as technically feasible)

Live Events: Access provided according to published schedule

Physical Products: Shipped according to stated timelines

Coaching/Support: Delivered according to program terms

We make every effort to deliver services promptly and professionally. However, we're humans running a business, and occasionally things go wrong (technical issues, unexpected delays, etc.). We'll communicate proactively and make things right when we can.

UPDATES AND IMPROVEMENTS:

We continuously improve our products and services. This means:

• Course content may be updated or expanded

• Tools and features may be added or modified

• Community platforms may change

• Bonuses and resources may evolve

Generally, these changes BENEFIT you. You get updated content and improved features at no extra cost. In rare cases, we may discontinue a feature or service - if that significantly impacts your experience, we'll communicate and provide alternatives when possible.

ACCESS PERIODS:

• Lifetime Access: If you purchased a "lifetime access" product, you have access as long as we operate the product (we don't guarantee we'll operate it forever, but we have no plans to shut down)

• Time-Limited Access: If you purchased time-limited access (e.g., 12-month program), your access expires at the end of that period

• Subscription Access: You have access while your subscription is active and paid

TECHNICAL REQUIREMENTS:

To use our services, you need:

• Internet connection

• Modern web browser (Chrome, Firefox, Safari, Edge - updated versions)

• Email address

• For some tools: specific software or accounts (e.g., ChatGPT, Midjourney, Amazon KDP)

We're not responsible if you can't access our services due to inadequate technology, poor internet, or incompatible devices.

SECTION 4: PRICING AND PAYMENT TERMS

PRICES:

All prices are displayed in U.S. Dollars (USD) unless otherwise stated.

Prices are subject to change at any time, BUT:

• If you've already purchased, your price is locked

• If you're on a payment plan, your installment amounts are locked

• Price changes only affect NEW purchases after the change

PAYMENT METHODS:

We accept:

• Credit cards (Visa, Mastercard, American Express, Discover)

• Debit cards

• PayPal (where available)

• Financing through approved partners (e.g., Klarna, Affirm)

PAYMENT AUTHORIZATION:

By providing payment information, you:

• Authorize us to charge your payment method for all fees

• Confirm you're authorized to use that payment method

• Agree to pay all charges incurred under your account

• Understand that payment is due immediately unless a payment plan is offered

PAYMENT PLANS:

If you select a payment plan:

• Your first payment is due immediately

• Subsequent payments are charged automatically on scheduled dates

• You must maintain valid payment information

• Missed payments may result in suspended access

• You're responsible for the FULL amount even if you stop using services

FAILED PAYMENTS:

If a payment fails:

• We'll attempt to process it again (usually 3-5 attempts)

• We'll notify you via email

• Your access may be suspended until payment succeeds

• You may incur late fees or collection costs if payment remains unpaid

TAXES:

Prices do NOT include applicable taxes (sales tax, VAT, GST, etc.). You're responsible for all taxes associated with your purchase. We'll collect and remit taxes where required by law.

NO REFUNDS (Except as Specified):

Generally, all sales are FINAL once the 3-day refund period expires (see Section 5). This is because we provide immediate access to digital products.

The exception: Our 365-Day Guarantee (see Section 6) provides buyback protection under specific conditions.

SECTION 5: REFUND POLICY

3-DAY RIGHT OF RESCISSION:

You have 72 HOURS from your purchase date to request a full refund for any reason.

To request a refund:

1. Email: [email protected]

2. Subject: "Refund Request - [Order Number]"

3. Include: Your name, email, order number, purchase date

We'll process your refund within 5-7 business days to your original payment method.

AFTER 3 DAYS:

No refunds are available after the 72-hour window EXCEPT:

• You may qualify for our 365-Day Double Your Money Guarantee (see Section 6)

• Exceptional circumstances at our sole discretion

WHY NO REFUNDS AFTER 3 DAYS?

Because we provide IMMEDIATE access to valuable digital content. The 3-day window gives you time to evaluate the program. After that, you've had access to the training, and we expect COMMITMENT.

This protects both us and our serious students from "course hoppers" who consume content and refund serially.

WHAT'S NOT REFUNDABLE:

Access after 3 days (unless guarantee applies)

Partial months of subscription services

Third-party services we provisioned for you

Completed coaching or implementation sessions

Printed or shipped physical products (unless defective)

SECTION 6: THE 365-DAY DOUBLE YOUR MONEY GUARANTEE

WHAT IS IT?

For students enrolled in ATLAS MAVERICKS, we offer a unique guarantee:

Follow the ATLAS Method exactly as taught, publish your books, and if you don't generate at least 2X your course enrollment fee in verified Amazon KDP royalties within 365 days, we'll BUY your KDP catalog from you for 100% of your course fee.

Translation: You either WIN or you GET PAID.

HOW IT WORKS:

This isn't a traditional refund. It's a BUYBACK. You transfer publishing rights to books you created during the program, and we pay you your full course price.

QUALIFICATION REQUIREMENTS:

To qualify, you MUST:

✓ Complete all core training within 90 days

✓ Publish at least ONE book using ATLAS Method

✓ Submit monthly progress reports

✓ Follow the system EXACTLY (no improvising)

✓ Provide verified KDP royalty screenshots at 365 days

✓ Submit claim within 30 days of your 365-day mark

By enrolling in ATLAS MAVERICKS, you agree to those guarantee terms as part of this Agreement.

RELATIONSHIP TO REFUND POLICY:

The 3-day refund and 365-day guarantee are SEPARATE mechanisms:

• 3-Day Refund = Full refund, keep access to knowledge gained, no buyback

• 365-Day Guarantee = Catalog buyback, full course price returned, future royalties go to us

You can't use BOTH. If you refund within 3 days, you forfeit the 365-day guarantee.

SECTION 7: SUBSCRIPTION SERVICES AND AUTO-RENEWAL

SUBSCRIPTION TERMS:

If you purchase a subscription service (monthly or annual):

• Your subscription AUTOMATICALLY RENEWS unless you cancel

• You'll be charged on your renewal date

• Renewal charges are at the then-current subscription rate (we'll notify you of price changes)

• You can cancel anytime BEFORE the renewal date

CANCELLATION:

To cancel a subscription:

1. Email: [email protected] with "Cancel Subscription"

2. Call: +1 888-598-5727

3. Or use the cancellation link in your account settings (if available)

Cancellations take effect at the END of the current billing period. You'll retain access until then. No refunds for partial periods.

FAILED SUBSCRIPTION PAYMENTS:

If your subscription payment fails:

• Your access may be suspended

• We'll attempt to collect payment

• Your subscription may be cancelled if payment isn't resolved

• You're still responsible for any unpaid amounts

NO REFUNDS FOR SUBSCRIPTION PERIODS:

If you cancel mid-cycle, you DON'T get a refund for the unused portion. You keep access until the period ends, then cancellation takes effect.

SECTION 8: YOUR CONTENT AND INTELLECTUAL PROPERTY

WHAT YOU CREATE:

When you use our training to create books, content, or other materials, YOU own what you create. We don't claim ownership of your books, your KDP catalog, or your creative work.

Exception: If you claim the 365-Day Guarantee, you transfer ownership of specified books to us as part of the buyback transaction.

WHAT YOU SHARE:

If you post content in our community (forum posts, comments, questions, feedback), you grant us a LICENSE to:

• Display your content on our platforms

• Use your content for community purposes

• Moderate, edit, or remove content that violates policies

We DON'T own your community posts, but we need permission to display them publicly.

TESTIMONIALS AND CASE STUDIES:

If you provide testimonials, success stories, or agree to be featured as a case study:

• You grant us permission to use your story, name, and likeness in marketing

• You confirm your testimonial is truthful and based on your actual experience

• You can request removal at any time (we'll honor it for future materials)

We'll never fabricate testimonials or misrepresent your results.

YOUR INTELLECTUAL PROPERTY:

You're responsible for ensuring you have rights to any content you create or share. This means:

• Don't infringe others' copyrights, trademarks, or IP

• Don't use images, text, or designs you don't have rights to

• Don't violate Amazon's content policies

• Don't plagiarize or copy others' work

If you violate IP rights and it causes problems for us, you're responsible (see Indemnification, Section 17).

SECTION 9: OUR CONTENT AND INTELLECTUAL PROPERTY

WHAT WE OWN:

PublishandProsper.ai LLC owns ALL rights to:

• The ATLAS Method and our training systems

• All course content, videos, tutorials, and materials

• Our website, branding, logos, and trademarks

• Our software, tools, and technology

• Our proprietary processes and strategies

• This includes "ATLAS," "ATLAS MAVERICKS," "ATLAS Method," and related branding

YOUR LICENSE TO USE OUR CONTENT:

When you purchase access, we grant you a LIMITED, NON-EXCLUSIVE, NON-TRANSFERABLE LICENSE to:

• Access and use our training materials for your personal/business use

• Implement the ATLAS Method to build your publishing business

• Download materials for offline use (where permitted)

YOU MAY NOT:

❌ Share your login credentials or course access with others

❌ Record, screenshot, or redistribute our training (except for personal notes)

❌ Teach our methods to others commercially without authorization

❌ Reverse-engineer our tools or systems

❌ Remove copyright notices or branding

❌ Create derivative works or competing products based on our IP

Violation of these restrictions may result in immediate termination and legal action.

NON-DISCLOSURE AGREEMENT (NDA):

Certain programs (like ATLAS MAVERICKS) require signing a separate NDA to protect our proprietary strategies. By agreeing to these Terms, you acknowledge:

• Some of our methods are TRADE SECRETS

• You agree to keep proprietary information confidential

• You won't disclose our strategies to competitors or the public

• Violation of confidentiality may result in damages and legal action

SECTION 10: ACCEPTABLE USE POLICY

BE A GOOD HUMAN:

Our community is built on RESPECT, INTEGRITY, and EXCELLENCE. We expect you to:

✓ Treat others with respect and professionalism

✓ Follow Amazon KDP Terms of Service in your publishing

✓ Comply with all applicable laws and regulations

✓ Be honest in your interactions

✓ Contribute positively to the community

PROHIBITED CONDUCT:

You MAY NOT:

❌ Harass, bully, threaten, or abuse others

❌ Post spam, advertisements, or self-promotion (unless in designated areas)

❌ Share illegal, harmful, or offensive content

❌ Violate others' privacy or intellectual property

❌ Impersonate others or create fake accounts

❌ Engage in fraudulent or deceptive practices

❌ Use our services to compete with us

❌ Attempt to hack, exploit, or disrupt our systems

❌ Engage in "black-hat" or unethical publishing tactics

❌ Violate Amazon's content policies or TOS

❌ Use bots, scripts, or automation without permission

CONSEQUENCES OF VIOLATIONS:

If you violate this Acceptable Use Policy:

• We may warn you

• We may suspend your access temporarily

• We may terminate your account permanently

• We may report illegal activity to authorities

• You may forfeit any guarantees or refunds

• You remain liable for any damages caused

We reserve the right to investigate violations and take appropriate action at our sole discretion.

SECTION 11: PRIVACY AND COMMUNICATIONS

YOUR PRIVACY:

We take your privacy seriously. How we collect, use, and protect your personal information is detailed in our Privacy Policy at:

By using our services, you agree to our Privacy Policy as part of this Agreement.

CONSENT TO COMMUNICATIONS:

By providing your contact information (email, phone number), you EXPRESSLY CONSENT to receive communications from us, including:

• Transactional emails (receipts, password resets, support responses)

• Educational emails about your purchased programs

• Marketing emails about our products and services

• SMS/text messages (if you opt in)

• Phone calls (if you opt in)

• Direct mail (if applicable)

This consent includes:

• Autodialed and prerecorded calls

• Calls/texts to wireless numbers

• Communications even if your number is on a Do Not Call list

OPT-OUT RIGHTS:

You can opt out of marketing communications at any time:

Note: You can't opt out of transactional communications related to your account or purchases.

SECTION 12: THIRD-PARTY SERVICES AND LINKS

WE USE THIRD-PARTY SERVICES:

To operate our business, we use third-party platforms:

• Payment processors (Stripe, PayPal, etc.)

• Email providers (Mailchimp, ConvertKit, etc.)

• Course platforms (Teachable, Kajabi, etc.)

• Analytics tools (Google Analytics, Facebook Pixel, etc.)

• Communication tools (Zoom, Slack, etc.)

Your use of these services may be subject to their terms and privacy policies. We're not responsible for their practices.

THIRD-PARTY LINKS:

Our website and content may link to third-party websites, tools, or resources. We provide these links for convenience, but:

• We don't control third-party sites

• We don't endorse third-party products (unless explicitly stated)

• We're not responsible for third-party content, practices, or policies

• Your interactions with third parties are at your own risk

Before using third-party services, review their terms and privacy policies.

AFFILIATE RELATIONSHIPS:

We may earn commissions if you purchase third-party products through our links. This doesn't affect your price, but it supports our business. We only recommend tools we genuinely use or believe in.

THIRD-PARTY TOOLS REQUIRED:

Some of our training requires third-party tools:

• Amazon KDP account (free)

• ChatGPT or other AI tools (varies)

• Midjourney or similar (varies)

• Other publishing tools

YOU are responsible for:

• Creating and maintaining these accounts

• Complying with their terms of service

• Paying for any required subscriptions

• Any issues arising from your use of these tools

We're not responsible if third-party platforms change policies, suspend accounts, or discontinue services.

SECTION 13: TESTIMONIALS, REVIEWS, AND CASE STUDIES

WE FEATURE REAL RESULTS:

We showcase testimonials, reviews, case studies, and success stories from real students. All testimonials:

✓ Are from actual customers

✓ Reflect their genuine experiences

✓ Are not fabricated or exaggerated

✓ May not represent typical results (see Disclaimer in Section 14)

IF YOU PROVIDE A TESTIMONIAL:

By submitting a testimonial, review, or success story:

• You grant us permission to use it in marketing materials

• You confirm it's truthful and based on your actual experience

• You allow us to use your name, likeness, and story

• You can request removal at any time (we'll honor for future use)

We may edit testimonials for length or clarity, but we won't change the meaning.

YOUR REVIEWS OF US:

We encourage honest feedback! You're free to post reviews on:

• Google, Facebook, Trustpilot, BBB, etc.

• Social media platforms

• Your own website or blog

We only ask that reviews are:

• Honest and based on actual experience

• Not defamatory or false

• Compliant with the platform's review policies

We don't incentivize positive reviews or penalize negative feedback. Honest feedback helps us improve.

SECTION 14: DISCLAIMERS AND "NO GUARANTEES" (RESULTS VARY)

THIS IS THE SECTION LAWYERS MAKE US WRITE. IT'S IMPORTANT.

EARNINGS DISCLAIMER:

The results, earnings, and success stories we share are NOT TYPICAL.

Your results WILL vary based on:

• Your effort and consistency

• Your skill level and learning speed

• Market conditions and competition

• Your niche selection and book quality

• How well you follow the ATLAS Method

• Factors beyond anyone's control (Amazon algorithm changes, etc.)

WE MAKE NO GUARANTEES ABOUT:

• How much money you'll make

• How quickly you'll see results

• Whether you'll achieve specific outcomes

• Whether publishing is "right" for you

Amazon KDP royalties are NOT GUARANTEED INCOME. Publishing is a BUSINESS, and all businesses involve RISK.

Some people make $0. Some make a few dollars a month. Some make thousands. A very few make six figures or more. Your results depend on YOU.

NO WARRANTIES:

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy, reliability, or completeness of information

• Uninterrupted or error-free operation

• Security or freedom from viruses

We make NO WARRANTY that:

• Our services will meet your specific needs

• Our services will be available 24/7 without interruption

• All content is 100% accurate or up-to-date

• Third-party tools will always work as described

• You'll achieve any specific results

BUSINESS RISKS:

Amazon KDP publishing involves BUSINESS RISKS:

• Amazon can change policies at any time

• Accounts can be suspended or terminated

• Royalty rates can change

• Competition increases constantly

• Market demand fluctuates

• Algorithm changes affect visibility

We teach compliant, ethical strategies, but we CAN'T control Amazon's actions or guarantee your account will never have issues.

YOU ARE RESPONSIBLE FOR YOUR BUSINESS:

You're an independent entrepreneur. This means:

• YOU make final decisions about your business

• YOU are responsible for taxes, legal compliance, and business operations

• YOU assume all risks associated with publishing

• WE provide education and tools, not business management

We're your COACH, not your PARTNER or EMPLOYEE.

NO PROFESSIONAL ADVICE:

Our content is for EDUCATIONAL PURPOSES ONLY. It is NOT:

• Legal advice (consult an attorney)

• Tax advice (consult a CPA)

• Financial advice (consult a financial advisor)

• Personalized business consulting (unless explicitly purchased)

We provide GENERAL strategies and training. How you apply them is YOUR decision and responsibility.

SECTION 15: LIMITATION OF LIABILITY

MAXIMUM LIABILITY:

To the fullest extent permitted by law, PublishandProsper.ai LLC's TOTAL LIABILITY to you for any claims arising from your use of our services is LIMITED to the amount you actually paid us in the 12 months preceding the claim.

Example: If you paid $4,997 for ATLAS MAVERICKS, our maximum liability is $4,997. Not $10,000. Not $100,000. $4,997.

NO LIABILITY FOR INDIRECT DAMAGES:

We are NOT LIABLE for:

• Lost profits or revenue

• Lost data or content

• Business interruption

• Loss of opportunity

• Emotional distress

• Punitive damages

• Indirect, incidental, consequential, or special damages

Even if we've been advised of the possibility of such damages.

EXCEPTIONS:

Some jurisdictions don't allow limitation of liability for certain damages. If your jurisdiction prohibits these limitations, they may not apply to you.

Nothing in these Terms limits liability for:

• Death or personal injury caused by our negligence

• These limitations are part of the bargain between us

SECTION 16: DISPUTE RESOLUTION: MANDATORY ARBITRATION & CLASS ACTION WAIVER

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

MANDATORY ARBITRATION:

Any dispute, claim, or controversy arising from or relating to these Terms, your use of our services, or your relationship with PublishandProsper.ai LLC SHALL BE RESOLVED BY BINDING ARBITRATION, not by court litigation.

This means:

• You waive your right to sue in court

• You waive your right to a jury trial

• Disputes are resolved by a neutral arbitrator, not a judge or jury

WHAT'S COVERED:

This arbitration requirement covers ALL disputes, including:

• Contract disputes

• Tort claims

• Statutory claims

• Constitutional claims

• Claims arising under federal, state, or local law

The ONLY exceptions are:

• Small claims court disputes (under jurisdictional limits)

• Intellectual property disputes (copyright, trademark, trade secret claims)

• Requests for injunctive relief to prevent irreparable harm

ARBITRATION PROCEDURES:

Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Process:

1. You must first contact us to attempt informal resolution: [email protected]

2. If we can't resolve within 30 days, either party may initiate arbitration

3. Arbitration is conducted per AAA rules

4. You can participate by phone, video, or in person

5. Arbitrator's decision is final and binding

6. Either party can seek court enforcement of arbitration award

LOCATION:

Arbitration will be conducted in:

• St. Petersburg, Florida, OR

• Your home county/state (if you prefer), OR

• Virtually (by phone or video conference)

COSTS:

• Each party pays their own attorneys' fees and costs UNLESS the arbitrator awards fees to the prevailing party

• AAA filing fees are split between parties or paid according to AAA rules

• We may cover your filing fees if the claim is under $10,000 and you can't afford them (at our discretion)

CLASS ACTION WAIVER:

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS.

All disputes must be brought INDIVIDUALLY, not as part of a class action, consolidated action, or representative action.

This means:

• You can't be a class representative

• You can't participate in a class action against us

• You can't consolidate claims with other users

• You can only seek relief for yourself, not on behalf of others

If the class action waiver is found unenforceable, the entire arbitration provision is void, and the dispute will be resolved in court.

OPT-OUT RIGHT:

You have 30 DAYS from first accepting these Terms to OPT OUT of arbitration.

To opt out:

2. Subject: "Arbitration Opt-Out"

3. Include: Your name, email, date of purchase, statement that you're opting out

If you opt out:

• You retain the right to sue in court

• We retain the right to sue you in court

• The class action waiver still applies (you still can't participate in class actions)

SEVERABILITY:

If any part of this arbitration provision is found invalid, the rest remains enforceable EXCEPT:

• If class action waiver is invalid, entire arbitration provision is void

• If arbitration is found unconscionable, the dispute goes to court

SURVIVAL:

This arbitration provision survives termination of these Terms and continues to govern disputes even after your relationship with us ends.

SECTION 17: INDEMNIFICATION (YOU'VE GOT OUR BACK, WE'VE GOT YOURS)

WHAT IS INDEMNIFICATION?

It means if YOU cause problems that result in legal claims against US, you're responsible for defending us and covering our costs.

YOUR INDEMNIFICATION OBLIGATION:

You agree to DEFEND, INDEMNIFY, and HOLD HARMLESS PublishandProsper.ai LLC and its officers, directors, employees, agents, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms

• Your violation of any law or regulation

• Your violation of third-party rights (copyright infringement, defamation, etc.)

• Your use of our services

• Content you create or publish

• Your publishing business activities

• Your breach of representations or warranties

EXAMPLES:

• If you plagiarize content and the original author sues us, YOU defend and indemnify us

• If you violate Amazon's TOS and Amazon bans our students citing your behavior, YOU indemnify us

• If you defame someone in our community and they sue, YOU indemnify us

• If you violate TCPA and someone sues us for your calls/texts, YOU indemnify us

PROCESS:

If a claim arises:

1. We'll notify you promptly

2. You'll take over defense (or we'll defend and bill you)

3. You'll cooperate fully with defense

4. You'll pay all costs, fees, damages, and settlements

We reserve the right to assume exclusive defense if we choose, at your expense.

SECTION 18: TERMINATION AND SUSPENSION

YOUR RIGHT TO TERMINATE:

You can terminate your relationship with us at any time by:

• Stopping use of our services

• Canceling your account (if applicable)

• Canceling subscriptions

• Requesting account deletion

Note: Termination doesn't entitle you to refunds beyond what's stated in our Refund Policy.

OUR RIGHT TO TERMINATE OR SUSPEND:

We may suspend or terminate your access immediately, without notice, if:

• You violate these Terms

• You violate our Acceptable Use Policy

• You engage in fraudulent or abusive behavior

• You threaten or harm others

• Your account is used for illegal activity

• Payment obligations are not met

• We're required to do so by law

• We discontinue services entirely

EFFECTS OF TERMINATION:

Upon termination:

• Your access to services ends immediately

• You lose access to course materials, community, and tools

• Outstanding payments remain due

• Provisions that should survive (arbitration, indemnification, disclaimers) continue

• We may delete your account and data per our retention policies

REFUNDS UPON TERMINATION:

If we terminate your account due to YOUR violation:

• No refunds are owed

• You remain liable for amounts due

If we terminate for convenience (discontinuing services):

• We may offer pro-rata refunds at our discretion

• Lifetime access products: No refund after 3-day window (you had access)

SECTION 19: CHANGES TO THESE TERMS

RIGHT TO MODIFY:

We reserve the right to modify these Terms at any time.

NOTICE OF CHANGES:

When we make changes:

• We'll update the "Last Updated" date at the top

• We'll post the revised Terms on our website

• For material changes, we may notify you via email (but we're not required to)

ACCEPTANCE OF CHANGES:

Your continued use of our services after changes are posted constitutes acceptance of the new Terms.

If you DON'T agree with changes:

• Stop using our services

• Request account closure

• You're bound by Terms in effect at time of dispute

MATERIAL CHANGES:

For particularly significant changes (e.g., changes to arbitration provisions, liability limitations), we'll provide more prominent notice and may require explicit acceptance before you can continue using services.

SECTION 20: GENERAL LEGAL PROVISIONS

GOVERNING LAW:

These Terms are governed by the laws of the State of Florida and the United States, WITHOUT regard to conflict of law principles.

Any court proceedings (if arbitration doesn't apply) shall be in the state or federal courts located in Pinellas County, Florida.

ENTIRE AGREEMENT:

These Terms, together with our Privacy Policy, Refund Policy, and Guarantee Terms, constitute the ENTIRE AGREEMENT between you and PublishandProsper.ai LLC.

They supersede all prior agreements, understandings, or representations (written or oral).

SEVERABILITY:

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

NO WAIVER:

Our failure to enforce any provision doesn't waive our right to enforce it later.

No waiver of any term is effective unless in writing and signed by us.

ASSIGNMENT:

You MAY NOT assign or transfer these Terms or your rights/obligations without our written consent.

We MAY assign these Terms to affiliates, successors, or acquirers without notice.

FORCE MAJEURE:

We're not liable for failure to perform due to causes beyond our reasonable control, including:

• Acts of God (earthquakes, floods, storms)

• War, terrorism, civil unrest

• Pandemics or epidemics

• Government actions or regulations

• Internet or utility failures

• Strikes or labor disputes

• Supplier failures

ELECTRONIC SIGNATURES:

By clicking "I Agree," checking a box, creating an account, or making a purchase, you're providing an electronic signature that has the same legal effect as a handwritten signature.
